Terms Of Service
Clear boundaries create great partnerships. Here is the framework that ensures our collaboration is transparent, fair, and focused on results.
Scope & Deliverables
The specific services, deliverables, and timelines for your project are detailed strictly in the Statement of Work (SOW) or Proposal document. Any task, feature, or asset not explicitly listed in the SOW is considered "Out of Scope." We reserve the right to decline additional requests or bill them as a separate Change Order.
Payment Structure
A non-refundable deposit (typically 50%) is required to secure a slot in our production schedule. Work will not commence until this deposit is received. The remaining balance is due upon project completion, strictly prior to the final release of files or server deployment. We reserve the right to pause all work if a milestone payment is overdue by more than 5 business days.
Intellectual Property & Ownership
Upon full payment of the final invoice, all ownership rights to the final visual designs and source code created specifically for the Client transfer to the Client.
EXCEPTIONS :
DesignFrame retains ownership of all preliminary sketches, rejected concepts, and our underlying "Background Technology" (reusable code snippets, frameworks, and internal tools) used to build the project. The Client is granted a perpetual, non-exclusive license to use this Background Technology.
Revisions & Iterations
Unless specified otherwise in the SOW, our standard pricing includes two (2) rounds of revisions per milestone. A "revision" is defined as a modification to the presented design (e.g., color tweaks, font changes, layout adjustments). A "revision" does not include a total redesign or a change in the core project requirements established during the Strategy Phase.
Client Responsibility & Delays
Our timeline estimates rely on the Client providing assets (text, images, login credentials) and feedback within 3 business days of a request. If the Client delays feedback or assets by more than 10 business days, DesignFrame reserves the right to place the project on hold and reschedule it based on our current availability.
Portfolio Rights
DesignFrame retains the right to display the project deliverables (including screenshots, videos, and process descriptions) in our portfolio, social media, and industry competitions for self-promotional purposes.
Limitation of Liability
DesignFrame is not liable for any indirect, special, or consequential damages arising out of the use of the deliverables, including but not limited to loss of revenue, data loss, or server downtime managed by third-party hosts. Our total liability is strictly limited to the amount paid by the Client for the specific project.
